New disclosure requirements on foreign ownership of securities of Russian companies introduced by the RF Central Bank in August 2015 complicate voting procedure of foreign investors. In order to participate in the general meeting of shareholders a foreign nominee of a Russian company shall provide the custodian with information about the owners of securities, other persons having rights to the securities and such securities’ quantity. According to media, these changes will lead to passive role of certain investors on the meetings of shareholders.
