According to media the RF State Duma Committee on Constitutional law drafts a bill aimed to amend rules on transfer of shares in LLC share. Currently, according to amendments effective on 15.01.2016, title on share in LLC is transferred when the transfer is reflected in the Unified register of legal entities (EGRUL), kept by tax authorities. The proposed amendments aim to require LLCs to engage external registrars who will keep the shareholders’ registers and will register transfer of shares. The bill, which is motivated by shareholders’ privacy, is expected to be tabled during spring session.
